Terms of Service

1. Agreement

By purchasing tokens, downloading software, or using services from LegacyLift ("we," "us," "our"), you agree to these Terms of Service. If you do not agree, do not use our products or services.

2. Services

LegacyLift provides:

  • Self-Service: A downloadable Windows desktop application that converts legacy Microsoft Office files (.xls, .xlsx, .xlsm, .mdb, .accdb) to modern formats. Runs locally on your machine.
  • Done-For-You: A managed migration service where you send us files and we return migrated output.

3. License Grant

When you purchase a token, you receive a limited, non-exclusive, non-transferable license to use the LegacyLift desktop application to process the number of files specified by your token. Each file processed consumes one credit. Tokens do not expire for 365 days from date of purchase.

You may not reverse-engineer, decompile, modify, or redistribute the LegacyLift software. You may not share, resell, or transfer tokens to third parties.

4. Migration Accuracy

LegacyLift performs best-effort file migration. While we scan for known compatibility issues, apply automated fixes, and generate detailed reports, we cannot guarantee that every migrated file will work perfectly in every environment. Factors outside our control — including custom VBA code, third-party ActiveX controls, environment-specific configurations, and undocumented file corruption — may require additional manual attention.

You are responsible for testing migrated files before deploying them to production. LegacyLift is a migration tool, not a certification service. We strongly recommend maintaining backups of your original files.

5. Refund Policy

LegacyLift tokens are digital products delivered electronically. Refunds are available under these conditions:

  • Unused tokens: Full refund within 14 days of purchase if no file credits have been consumed.
  • Partially used tokens: No refund once any credits have been consumed.
  • Done-for-you service: If we are unable to complete your migration, you will receive a full refund. If you are unsatisfied with the quality of the migration, contact us within 7 days of delivery and we will either re-do the migration or issue a refund at our discretion.
  • Technical issues: If the application fails to run on a supported system (Windows 10 1809+ or Windows 11), contact support and we will resolve the issue or issue a refund.

6. Payment

All payments are processed securely through Stripe. We do not store your credit card information. Prices are listed in USD and are subject to change. Price changes do not affect previously purchased tokens.

7. Data Handling

For self-service: your files never leave your computer. The desktop application runs 100% locally with no network communication required for migration.

For done-for-you: files are transferred via encrypted channels, stored only for the duration of the migration, and permanently deleted after delivery. See our Privacy Policy and Security page for full details.

8. Limitation of Liability

To the maximum extent permitted by law, LegacyLift's total liability for any claim arising from your use of our products or services is limited to the amount you paid for the specific token or service giving rise to the claim.

LegacyLift is not liable for indirect, incidental, consequential, or punitive damages, including but not limited to lost data, lost profits, business interruption, or costs of procuring substitute services — even if we have been advised of the possibility of such damages.

9. Disclaimer of Warranties

LegacyLift is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Acceptable Use

You agree not to:

  • Use the software to process files you do not own or have authorization to modify
  • Attempt to circumvent the token licensing system
  • Reverse-engineer the application or token signing mechanism
  • Use the service for any illegal purpose

11. Modifications

We may update these terms from time to time. Material changes will be posted on this page with an updated date. Continued use of our products after changes constitutes acceptance.

12. Governing Law

These terms are governed by the laws of the United States. Any disputes shall be resolved in the courts of the state where LegacyLift is incorporated.
